Board Committees

In accordance with the Combined Code, the BBA Aviation Board operates a Remuneration Committee, a Nomination Committee and an Audit and Risk Committee. Membership of these committees is set out in the following chart:

Remuneration Committee

The Remuneration Committee has two principal functions: first, making recommendations to the Board on the framework and Board policy for the remuneration of the Chairman, executive directors and other designated senior executives and second, determining on behalf of the Board the specific remuneration package for each of the executive directors, including pension rights and any compensation payments.

Nomination Committee

The primary responsibilities of the Nomination Committee are to make appropriate recommendations to the Board for the appointment of replacement or additional directors; to devise and consider succession planning arrangements for directors and senior executives and to regularly review the structure, size and composition of the Board and make recommendations to the Board with regard to any changes.

The Committee carefully evaluates the existing balance of experience, skills, knowledge, independence and diversity of backgrounds on the Board when the Committee considers Board succession planning.

Audit and Risk Committee

BBA Aviation's Audit and Risk Committee may consider any matter that might have a financial impact on the group. However its primary roles are to monitor and review the effectiveness of BBA Aviation's internal control and risk assessment processes and its internal audit function, to review BBA Aviation's external audit function, the results of the external audit and the independence of the external auditors and to monitor the integrity and audit of BBA Aviation's financial statements and announcements, including the financial reporting judgements contained within them. The Committee also establishes and oversees BBA Aviation's arrangements for employee disclosure and fraud prevention.
