The Board’s role includes providing effective leadership and agreeing the Group’s strategic aims. It assesses business opportunities and seeks to ensure that appropriate controls are in place to examine and manage risk.
The Board is responsible for reviewing management’s performance, senior level succession planning, setting the company’s values and standards and ensuring the company’s obligations to its shareholders are met. Board meetings focus on strategy and financial and business performance and additional meetings are called to deal with specific matters. The Board also considers mergers and acquisitions activity, health and safety matters and litigation.
It has a formal schedule of matters reserved to it for decision which include: strategy and objectives; Group policies; annual budgets, dividends, acquisitions and disposals; financial results and the appointment and removal of directors.
The Chairman is responsible for leading the Board and ensuring ongoing improvement in the Board’s effectiveness. The Senior Independent Director meets independently with other directors and is available, if required, to meet with shareholders.
